Membership Agreement

1. Parties
a) Owlish Studio Sürdürülebilir Tekstil Sanayi ve Ticaret LTD. ŞTİ., located at Emniyet Evleri Mah. Yeniçeri Sk. Gökay Yapı Busidence No: 42 A, Kağıthane, Istanbul, Türkiye, operates the website www.owlishstudio.com (hereinafter referred to as "Owlish Studio").
b) The internet user who registers as a member on the website www.owlishstudio.com (hereinafter referred to as the "Member").
2. Subject of the Agreement
The subject of this Agreement is to set forth the terms and conditions under which the Member may benefit from the website www.owlishstudio.com, owned by Owlish Studio.
3. Rights and Obligations of the Parties
3.1. The Member declares and undertakes that the personal and other information provided during registration on the website www.owlishstudio.com is accurate under the law, and that they will fully and immediately compensate Owlish Studio for any damages incurred due to the inaccuracy of such information.
3.2. The Member may not share the password they have set or been assigned during registration on the Owlish Studio website with any other person or organization. The right to use this password belongs solely to the Member. Therefore, the Member shall bear all responsibility arising from such use, and Owlish Studio reserves the right to claim compensation and make any other demands against the Member in response to any claims or demands that may be brought by third parties or competent authorities due to unauthorized use.
3.3. The Member hereby agrees and undertakes in advance to comply with the provisions of applicable legal regulations while using the website www.owlishstudio.com and not to violate them. Otherwise, all legal and criminal liabilities that may arise shall rest solely and exclusively with the Member.
3.4. The Member may not use the website www.owlishstudio.com in any manner that disrupts public order, violates general morals, is disturbing or harassing to others, is for unlawful purposes, or infringes upon the intellectual and copyright rights of others. Additionally, the Member may not engage in any activities or actions that prevent or hinder others from using the services (such as spam, viruses, trojan horses, etc.).
3.5. The ideas and opinions expressed, written, or used by the Member on the website www.owlishstudio.com are entirely the Member’s own personal views and bind only the individual expressing them. These views and opinions have no relation or connection with Owlish Studio. Owlish Studio bears no responsibility for any damages that third parties may suffer due to the Member's expressed opinions, nor for any damages the Member may suffer due to opinions expressed by third parties.
3.6. Owlish Studio shall not be held responsible for any unauthorized access to the Member's data or for any damages that may occur to the Member's software or data. The Member hereby agrees in advance not to claim any compensation from Owlish Studio for any damages that may arise from the use of the website www.owlishstudio.com.
3.7. The Member agrees not to access or use other internet users' software or data without authorization. Otherwise, all legal and criminal liabilities arising from such actions shall rest solely with the Member.
3.8. The Member who violates one or more of the provisions listed in this Membership Agreement shall be personally responsible for any criminal and legal consequences arising from such violations and shall hold Owlish Studio harmless from any legal and criminal liabilities. Furthermore, if the matter is taken to legal proceedings due to the violation, Owlish Studio reserves the right to claim compensation from the Member for non-compliance with the Membership Agreement.
3.9. Owlish Studio reserves the right to unilaterally delete the Member’s account or any files, documents, and information belonging to the Member at any time. The Member accepts this right in advance. In such a case, Owlish Studio shall bear no responsibility whatsoever.
3.10. The software and design of the website www.owlishstudio.com are the property of Owlish Studio or its service providers, and the copyrights and/or other intellectual property rights related to them are protected under applicable laws. These may not be used, acquired, or modified by the Member without permission. Other companies and products mentioned on this website are the trademarks of their respective owners and are also protected under intellectual property laws.
3.11. Owlish Studio may collect certain information for the purpose of improving or developing the website www.owlishstudio.com and/or within the framework of legal regulations. This information may include the name of the Internet service provider used to access the site, the Internet Protocol (IP) address, the date and time of access, the pages visited while on the site, and the Internet address of the website that provided a direct link to www.owlishstudio.com.
3.12. Owlish Studio may disclose the Member's personal information if it believes in good faith that such action is necessary: (a) to comply with legal requirements or respond to legal processes served on Owlish Studio; or (b) to protect and defend the rights and property of Owlish Studio.
3.13. To the extent possible, necessary precautions have been taken to ensure that the website www.owlishstudio.com is free from viruses and similar malicious software. However, to ensure ultimate security, the Member is responsible for obtaining their own virus protection software and taking the necessary protective measures. In this context, by accessing the website www.owlishstudio.com, the Member is deemed to have accepted responsibility for any errors that may occur in their own software or operating systems and for any direct or indirect consequences thereof.
3.14. Owlish Studio reserves the right to modify the content of the site at any time, change or terminate any services provided to users, or delete user information and data registered on the website www.owlishstudio.com.
3.15. Owlish Studio may modify, update, or cancel the terms of the Membership Agreement at any time, without any prior notice or warning. Any amended, updated, or repealed provision shall become effective for all Members once it has been communicated to their registered email addresses.
3.16. The Parties agree and declare that all computer records belonging to Owlish Studio shall be taken as the sole and exclusive evidence in accordance with Article 287 of the Code of Civil Procedure, and that such records shall constitute an evidential contract.
3.17. Under this Membership Agreement, Owlish Studio is authorized to send informational emails to the Member's registered email address and informational SMS messages to their mobile phone. By approving this Membership Agreement, the Member is deemed to have accepted the receipt of such informational emails and SMS messages.
4. Termination of the Agreement
This Agreement shall remain in effect until the Member cancels their membership or the membership is terminated by Owlish Studio. In the event that the Member violates any provision of the Membership Agreement, Owlish Studio reserves the right to unilaterally terminate the Agreement by canceling the Member’s membership.
5. Settlement of Disputes
In the event of any disputes arising from this Agreement, the Courts and Enforcement Offices of Istanbul, Türkiye shall have jurisdiction.
6. Effective Date
By completing the membership registration, the Member is deemed to have read and accepted all the provisions stated in the Membership Agreement. This Agreement is deemed to have been concluded and mutually entered into force at the moment the Member completes the registration process.
